Terms of Service

IMPORTANT
PLEASE READ THE TERMS CAREFULLY BEFORE USING OUR PLATFORM AND SERVICE.
1. Definitions and Interpretation
1.1 Definitions
For the purposes of the Terms, the words and expressions stated in this Paragraph 1.1 shall have the following meanings, unless otherwise stated or required:
1.1.1 "Account" means the personal, non-transferable record created by an individual to register for the Platform, including their login credentials and the right to access the Service.
1.1.2 "Content" includes profiles, bios, messages, comments, images, connection requests, contact details, professional information (including job title, organisation, sector and work hub), locations, club memberships, golf handicaps or other materials uploaded, displayed, linked, posted or otherwise made available on the Platform.
1.1.3 "Member" means any individual who registers an Account and creates a Profile to use our Platform and Service.
1.1.4 "Platform" means our Website, applications, software, content and other interfaces, as applicable, through which we provide the Service.
1.1.5 "Policies" means our Privacy Policy and Cookie Policy, and "Policy" shall mean any one of them.
1.1.6 "Profile" means the public-facing representation of a Member on the Platform, including any name, professional credentials, handicap, club membership, photos, location and other biographical information provided by the Member after registration.
1.1.7 "Service" refers to the introduction and professional networking services we provide, including profile creation, Member discovery and messaging.
1.1.8 "Terms" means these Terms of Service, as updated from time to time.
1.1.9 "Venue" means any location (including a golf course, driving range or simulator venue) where you choose to meet with another Member.
1.1.10 "Website" means https://www.club-key.co.uk (including its subdomains), and any other website owned or operated by us, or on behalf of us, from time to time.
1.1.11 "Your Content" means any information, Content or materials that you (or someone on your behalf) uploads or provides to the Platform (including your Profile).
1.2 How to read these Terms
Headings are for ease of reference only and have no legal or contractual effect. Whenever we use the word "including", it should be read as "including but not limited to". References to "using" the Platform also include "accessing" it, and vice-versa.
2. Who we are, and how to contact us
2.1 About Us
The Platform is owned and operated by Club Key Limited ("Club Key", "we", "us" or "our"). We are a private limited company registered in England and Wales (company number: 13531902). Our registered office address is:

3. Your agreement to these Terms
3.1 Our agreement
By registering an Account or using the Platform, you enter into a legally binding agreement with Club Key based on these Terms. If you do not agree to these Terms, you must not register an Account or use the Platform.
3.2 Linked Policies
The following policies also apply to your use of the Platform and the Service:
- Privacy Policy: Explains how we handle your personal information. Because the Platform is a networking tool, we need to use and display certain personal data to provide our Service to you; we cannot offer the Platform’s features without this processing.
- Cookie Policy: Details the cookies we use on our Platform.
3.3 Changes to these Terms and our Policies
We may update these Terms or any of our Policies from time to time. When we do, we will:
- post the updated version on the Website with an updated "Effective Date"; and
- where a change is material or adversely affects your legal rights, we will notify you (for example, by email or via a prominent notice on the Platform).
If you continue to use the Platform after the changes take effect, you are agreeing to the updated Terms and Policies. If you do not agree to the changes, you must stop using the Platform and delete your Account.
3.4 Platform availability
We regularly update the Platform to improve our Service or reflect our Members' needs. While we aim to provide a consistent service, we cannot guarantee the Platform will always be available or uninterrupted. We may suspend, withdraw or restrict the availability of all or any part of the Platform for business or operational reasons (such as maintenance), but we will try to give you reasonable notice of any significant disruption.
3.5 How we will contact you
We will contact you via the email address linked to your Account. This includes:
- Legal & service updates: Important notices about our Platform and Services or changes to these Terms, our Policies or your Account status.
- Platform notifications: Automated updates to alert you of activity on the Platform, such as connection requests, approvals, or new messages.
You can manage your notification preferences within your Account settings, though certain essential Service-related emails cannot be turned off while you have an active Account.
4. Account Registration
4.1 Geographic scope
The Platform and the Service is intended for use by persons residing in the United Kingdom. We do not guarantee that the Platform, or the Content available on it, is appropriate for use or available in other locations.
4.2 Eligibility
To register an Account and use the Platform, you must meet the following criteria. By creating an Account, you confirm that you:
- are at least 18 years old;
- have the legal capacity to enter into a binding contract;
- have no criminal convictions and are not required to register on any sex offender database;
- are not subject to any UK Government sanctions or located in an embargoed country; and
- have not previously been suspended or removed from our Platform.
If any of the above becomes untrue after you have joined, you must notify us immediately and stop using the Platform and delete your Account.
4.3 Registration
You can register an Account by providing an email and password or by using "Sign In with LinkedIn". If you choose LinkedIn, we will pre-populate your Profile with details from your LinkedIn account (which may include your name, photo, job title, and company) to make your Profile creation easier. You can review and edit these details before they are published on your Profile.
4.4 Keeping your account secure
Your account (including Profile) is personal to you. You are responsible for maintaining the confidentiality of your login details. You must not:
- share your username or password with any third party; or
- allow any other person to access the Platform using your Account.
You must notify us immediately if you suspect your Account has been compromised. You are responsible for all activity that occurs under your Account or your Profile.
5. Our Service and Features
5.1 Service
Club Key provides a digital environment designed to facilitate introductions and professional networking services. The Service includes access to the Platform to register an Account, curate a Profile, discover other Members, and communicate for the purpose of arranging in-person meetups.
5.2 Key features
The Platform currently offers the following features to enhance your membership:
- Member Discovery: You can search for and view Member Profiles using tailored filters, including industry, organisation, and club membership.
- Proximity Search: You may use our map-search functionality to identify and connect with Members within specific geographical areas as illustrated by drop-pins.
- One-to-One Messaging and connections: The Platform facilitates introductions through a connection and messaging system:
- Connection Requests: You may initiate a "connection" with another Member by sending a request. This process includes the ability to send an accompanying message to facilitate the networking process.
- Connection Status: The Platform tracks the status of your interactions (such as "Pending" or "Connected"). Notifications may be sent to your email regarding changes in connection status or the receipt of new messages (see Paragraph 3.5).
- Purpose and Discretion: All messaging must be used to facilitate introductions, networking or golf arrangements. Members have the discretion to ignore and archive any connection requests or messages received.
- Control: You may report any Member who uses the messaging or connection feature in breach of our Conduct Standards (see Paragraph 7).
5.3 Modifications to the Service
We are constantly looking to improve the membership experience. As such:
- we may add, update, change, or remove specific features of the Platform or the Service at any time;
- we do not guarantee that any specific feature will be available indefinitely; and
- we will use reasonable endeavours to notify you of any material changes that significantly affect your use of the Service.
5.4 Third-Party Links and Services
The Platform may contain links to websites, services, or advertisements operated by third parties (including other Members). We do not monitor, endorse, or have any control over these third parties. We are not responsible for the content, privacy policies, security, or practices of any third-party site. Your interaction with any third party found through the Service is solely between you and that third party, and you access such links at your own risk.
6. Member Profiles, and Professional and Golf Authenticity
6.1 Profile accuracy
You must provide accurate and current information when creating your Profile. You agree to:
- Authenticity: Use your real name, correct age bracket and professional credentials. We recommend that you provide a clear photo that shows your face to use as your Profile picture for your benefit, and that of other Members who may wish to meet with you in-person.
- Credentials: Ensure your job titles, company affiliations, and professional qualifications are true.
- Club Membership: If you list a club membership on your Profile, it must be current and active. You must not claim to be a member of a club if your membership has lapsed, is suspended, or if you only hold temporary or "pay-as-you-play" access that is not considered a full or associate membership by that club.
- Handicap Index: Your stated handicap must be either an official index (e.g., WHS) or a reliable, honest estimation.
6.2 Prohibited representation
You must not:
- impersonate any person or misrepresent your affiliation with any entity or club;
- create a new account if we have previously suspended or terminated your Account; or
- share your login credentials or allow anyone else to access your Account.
6.3 Approval and continuing obligations
The integrity of our membership relies on the authenticity of its Members. To maintain this standard:
- At approval: We reserve the right to verify your identity, professional credentials, and club membership status as part of the initial membership approval process. We may refuse or delay your access to the Platform until this verification is complete to our satisfaction.
- On a continuing basis: Your membership is conditional upon your Profile remaining accurate. We reserve the right to re-verify your information at any time.
- Right to action: To ensure the integrity of the Platform and our Service, we reserve the right to suspend or terminate your Account immediately if we have reasonable grounds to suspect any misrepresentation or impersonation, whether discovered during the application process or at any time during your membership.
7. Member Conduct and Acceptable Use
7.1 General conduct
We are a curated professional membership. You must treat all Members and our officers, agents, partners and employees with courtesy and respect, both on the Platform and at offline Venues. We have a zero-tolerance policy for:
- Harassment & Bullying: Behaviours including stalking, intimidating, humiliating, or the mistreating of any person.
- Discrimination: Posting content or engaging in behavior that targets race, religion, sex, sexual orientation, disability, or national origin.
- Harmful Content: Sharing material that is obscene, defamatory, hateful, or promotes illegal activity.
7.2 Professional Integrity
Introductions made on the Platform and through the use of our Service must be handled with honesty and professional ethics. You must not:
- use the Platform for fraudulent purposes or to solicit money/loans from other Members;
- take any action that could bring Club Key or its membership into disrepute; or
- post "fake reviews" or misleading information about Venues or other Members.
7.3 Anti-spam and commercial use
The Platform is for mutual networking, not mass marketing. Each Member must have their own unique, approved Profile. You must not:
- use "shared" login credentials or "group accounts”;
- use search filters or Member data to compile lists for unsolicited commercial messages;
- use another Member’s personal information, contact details and location for any purpose outside of the Platform’s intended use; or
- imply that any statements you make are endorsed by us without our written consent.
7.4 Technical restrictions
To protect the Platform's security, you must not:
- use bots, scrapers, or any automated tools to access the Platform or extract data;
- upload viruses, Trojan horses, or any malicious code designed to disrupt our software or hardware; or
- attempt to probe, scan, or test the vulnerability of our systems or networks.
7.5 Breach of this Paragraph 7
We will determine, at our sole discretion, whether your conduct breaches these standards. Any violation of this Paragraph 7 will result in the automatic revocation of your licence to use the Platform and may lead to the immediate suspension or termination of your Account.
8. Offline Meetups, Venue Rules, and Assumption of Risk
8.1 Introductory service only
Club Key functions solely as an introductory platform to facilitate professional networking amongst Members only. We do not own, manage, or represent any Venue. We are not a party to any agreement or arrangement you make with a Venue or another Member.
8.2 Golf etiquette and Venue rules
When visiting a Venue, you are responsible for your own conduct. You must:
- Respect the Venue: Strictly follow the Venue’s dress code (if any) and "house" rules.
- Play the game: Adhere to standard golf etiquette, and if relevant, maintain the speed of play.
- Liability for damage: You are responsible (whether personally or through separate insurance) for any damage you cause to the Venue's property.
8.3 Costs and payments
Unless you have explicitly agreed otherwise in writing with another Member (e.g., via the Platform's messaging feature), the following default terms apply:
- Fees: The visiting Member is responsible for paying their own fees (include green fees and pay and play rates) and any associated costs (such as equipment hire, bay hire, food, or drinks) directly to the Venue.
- Our role: We do not handle payments for any fees or Venue services. Any financial disputes between Members must be resolved separately between themselves.
8.4 Reliability and "no-shows"
Reliability is a core value of our membership.
- "No-show" policy: Failing to attend an agreed meetup time (for example, a tee time) without providing reasonable notice to both the other Member(s) and the Venue is considered a serious breach of these Terms.
- How we treat repeated "no-shows": We reserve the right to suspend or terminate the Account of any Member who repeatedly fails to honour their commitments.
8.5 Assumption of risk
You acknowledge that meeting up with strangers involves certain risks, and golf in particular involves inherent risks of personal injury. By using the Platform and the Service, you agree that:
- No background checks: We do not conduct criminal background checks or verify the offline identity of Members.
- Personal safety: You are responsible for taking your own safety precautions when meeting someone offline for the first time.
- Interaction risk: You assume all risks associated with interacting with other Members, whether online or in person.
9. Content and Intellectual Property
9.1 Our intellectual property
We (or our licensors) own all intellectual property rights in the Platform and the Service, including our branding, software, and the "look and feel" throughout. We grant you a personal, non-exclusive, and non-transferable licence to use the Platform and the Service for introductions and professional networking. You must not:
- copy, modify, or "scrape" any part of the Platform for commercial use;
- use our trademarks or logos without our prior written consent; or
- attempt to reverse-engineer or interfere with the Platform’s software.
9.2 Your Content and the licence you grant us
You retain ownership of Your Content. To allow us to operate, promote and improve the Platform and provide the Service, you grant us a worldwide, royalty-free, non-exclusive, sublicensable and transferable license to host, store, use, copy, display, format and enrich Your Content. In addition:
- Formatting and enrichment: We may modify the size, layout, or file type of Your Content (for example, to ensure your profile photo fits our display), or correct any inadvertent typographical errors or address inconsistencies in naming conventions (for example, to standardise organisation names). To improve our Service and ensure Profile accuracy, we also reserve the right to supplement your Profile with publicly available information (such as LinkedIn data). In all cases, we will not materially change the meaning of what you have shared.
- AI and algorithm usage: We will not use Your Content to train third-party generative artificial intelligence models. However, you agree we may use Your Content to power our internal Member-matching and discovery algorithms to improve your experience.
- Promotion: We may use your Profile to promote Club Key features within the Platform. We will not use Your Content in third-party advertisements without your separate consent.
- Duration: This licence ends when you delete Your Content or close your Account. However, Content you shared with others may remain visible (for example if it exists as part of a correspondence thread within our messaging feature), and it may persist in our secure backups for a reasonable period.
- Feedback: If you provide us with suggestions or feedback about the Platform or the Service, we may use these ideas for any purpose without further notice or compensation to you.
9.3 Member Content and conduct
You will see Content posted by other Members.
- No Ownership: You do not have any rights to another Member’s Content. You may only use it for the Platform's intended purpose of introductions and professional networking.
- Accuracy: We do not verify Member Content. You acknowledge that information shared by others may be inaccurate or incomplete, and you use such information at your own risk.
9.4 Content standards and reporting
You confirm that Your Content is true, accurate and up to date and does not violate the law or anyone else’s rights.
- Takedowns: We reserve the right to remove any Content that, in our opinion, violates these Terms.
- Legal disclosure: We may disclose your identity to a third party if they provide a valid legal claim that Your Content infringes their intellectual property or privacy rights.
10. Fees
10.1 Current basis
Access to the Service and the Platform is currently provided to you free of charge.
10.2 Right to introduce fees
We reserve the right to introduce fees for use of the Platform and the Service, or to introduce different tiers of membership, at our discretion.
10.3 Notice of changes
If we introduce fees or make changes that significantly affect your use of the Platform or Service, we will provide you with reasonable prior notice (via the Platform or the email associated with your Account).
10.4 Future monetisation
If we introduce a fee as outlined in this Paragraph 10, you will not be charged unless you actively opt-in (for example, to a paid membership tier). If you choose not to accept the new charges, we reserve the right to terminate your Account or restrict your access to certain features of the Platform. Your continued use of the Service after a fee has been introduced and accepted by you constitutes your agreement to the payment terms then in effect.
11. Our responsibility for loss or damage
11.1 What we do not exclude
Nothing in these Terms limits or excludes our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot be limited or excluded by English law (including your statutory rights).
11.2 General Disclaimer
Subject to Paragraph 11.1, we provide the Platform and the Service on the following basis:
- Platform availability: The Platform is provided on an "as is" and "as available" basis. This means we do not guarantee that the Platform (or any Content on it) or the Service will always be available, uninterrupted, or free from bugs and errors.
- Digital Content quality: We will provide the Platform with reasonable care and skill. As a consumer, you have certain legal rights regarding digital content that is not of satisfactory quality or fit for purpose. Nothing in these Terms is intended to exclude these mandatory statutory rights. However, the Service is provided as an introduction and networking tool only; we provide no guarantee that your use of the Platform will result in specific social, professional, or golfing outcomes, nor do we guarantee the suitability of any Member introductions.
- Professional Disclaimer: All Content and information available on the Platform is provided for introductory and general networking purposes only. We do not verify the truth or accuracy of any information or advice shared by Members. You should obtain independent specialist advice before taking, or refraining from, any action based on information obtained via the Platform or the Service.
- Foreseeable loss only: We are only responsible for loss or damage that is a foreseeable result of our breaching these Terms or failing to act with reasonable care and skill. Loss is "foreseeable" if it was obvious it would happen or if both we and you knew it might happen at the time you registered an Account.
- Conduct and Venues: We explicitly disclaim all liability for the conduct of any Member (whether online or in person) and for any personal injury or property damage occurring at any Venue. You interact with other Members and visit Venues at your own risk.
- Events outside our control: We are not liable for any failure or delay in our performance caused by events outside our reasonable control (such as server failures by third-party providers, industrial action, war, crises or "acts of God"). Our obligations will be suspended for the duration of such events.
11.3 No liability for business losses
While the Platform and the Service is for working professionals, it is intended for networking and professional development. We are not liable to you for any:
- loss of profit or revenue;
- loss of business or business opportunity;
- business interruption; or
- any indirect or consequential loss.
11.4 Aggregate Liability Cap
Subject to Paragraph 11.1, our total liability to you for all claims is limited to £50 or the total fees you paid us in the 12 months before the claim (whichever is higher).
11.5 Your responsibility loss
You agree to compensate us (including our officers, agents, partners and employees) for any reasonable losses, damages, or legal costs we incur that are caused by:
- your breach of, or failure to comply with, these Terms or our Policies;
- Your Content, including any claim that Your Content infringes the rights of a third party; or
- any deliberate, unlawful or negligent act you commit while using the Platform or visiting a Venue.
12. Account Suspension and Termination
12.1 Our rights and grounds
We may, at our sole discretion, remove Your Content, temporarily suspend, or permanently terminate your Account and membership for any of the following reasons:
- Material breach: You breach any of the "Member Conduct and Acceptable Use" standards set out in Paragraph 7.
- Authenticity issues: We have reasonable grounds to believe that the information on your Profile is inaccurate, including misrepresentation of your professional credentials, club membership status, or handicap.
- Security risks: We suspect unauthorised access to your Account or believe your login credentials have been compromised or shared.
- Reputational risk: Your conduct, either on or off the Platform (including at Venues), brings Club Key or its membership into disrepute.
- Legal requirement: We are required to do so by law or a regulatory authority.
12.2 Effect of Termination
Upon termination of your Account or membership:
- your right to log in to your Account and access the Platform and Service ceases immediately;
- your Profile will be removed from public view or deleted at our discretion;
- you are prohibited from creating a new Account or attempting to rejoin the membership under a different name or email address; and
- we are not liable for the deletion of Your Content or any loss of connections with other Members you have made on the Platform.
12.3 Moderation and appeals
We will act proportionately and fairly in exercising our rights under Paragraph 12.1. If you believe Your Content has been removed or your Account suspended in error, you have the right to appeal the decision by contacting admin@club-key.co.uk. We will review all appeals in a timely manner. This process does not affect your statutory rights or your right to seek legal remedies for an alleged breach of contract by us.
13. General legal provisions
13.1 Relationship
These Terms do not create a partnership, joint venture, employment, or agency relationship between you and us. You do not have the authority to enter into any commitments or incur any liabilities on our behalf.
13.2 Transfer of Rights
By You: Your membership is personal to you. You cannot transfer your rights or obligations under these Terms to anyone else without our written consent.
By Us: We may transfer our rights and obligations under these Terms to a third party (including another group company of Club Key or another organisation if we sell the business).
13.3 Enforcement
If we do not immediately insist that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
13.4 Validity
Each part of these Terms operates separately. If any court or authority decides that any specific paragraph (or part of a paragraph) is unlawful or unenforceable, that specific part will be removed. The rest of these Terms, including the remaining parts of any affected paragraph, will continue to be valid and enforceable.
13.5 Entire Agreement
These Terms, along with our Policies, make up the entire agreement between you and us regarding your use of the Platform. They replace all prior versions of each.
13.6 Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be dealt with by the courts of England and Wales.
